Rex Energy Re-Launches Proposed 250 Million Offering of Senior Notes
STATE COLLEGE, Pa., Dec 6, 2012 (Menafn - GlobeNewswire via COMTEX) --Rex Energy Corporation REXX announced today that it intends to re-launch its offering of 250 million in aggregate principal amount of senior notes due 2020 (the "Senior Notes") in a private placement, subject to market conditions. The company intends to use the net proceeds from the offering of the Senior Notes to repay all of the borrowings outstanding under its revolving credit facility and to repay in full, and terminate, its second lien term loan facility. The company will use the remaining net proceeds for general corporate purposes.
Rex Energy will make the offering pursuant to certain exemptions from registration under the Securities Act of 1933, as amended (the "Securities Act"). The initial purchasers of the Senior Notes will offer the Senior Notes only to qualified institutional buyers in reliance on Rule 144A under the Securities Act, or outside the United States to certain persons in reliance on Regulation S under the Securities Act. The Senior Notes will not be registered under the Securities Act or applicable state securities laws and may not be offered or sold in the United States absent registration under such laws or applicable exemptions from such registration requirements.
